Task Scheduler - Mstask.EXE

MMTASK.EXE can be found in Windows 98, Me, NT, 2000, and XP home & Professional. This is the task scheduler service, responsible for running tasks at a time predetermined by the user. It's only required for tasks setup by users and not required by Windows.

This may show up in your system tray with a small clock icon. It can be handy if you'd like to schedule programs such as virus scanners, disk defraggers, etc. to run at regular intervals.
